Terms of Service
These terms apply when you use the Vendara website (vendara.com.au) and the Vendara platform (together, the “Service”). Vendara is operated by Orbius Ventures Pty Ltd (ABN 64 670 058 858) (“Vendara”, “we”, “us”). By using the Service you agree to these terms. If you are using it for a company, you confirm that you are authorised to accept these terms for that company.
1. Early access
The Service is in early access. Features change, some are labelled “Demo”, “Planned” or “Roadmap” and are not available or are illustrative only, and we do not promise any level of uptime or support. Early access is currently free. If we introduce paid plans, we will publish the price before you are charged and you will not be moved onto a paid plan without agreeing to it.
2. Accounts
Accounts are created by us or by an administrator of your company. Keep your login details confidential and turn on two-factor authentication where it is offered. You are responsible for activity under your account, and company administrators are responsible for the users they add. Tell us promptly if you suspect your account has been accessed without permission.
3. Your data
You keep ownership of the business information you put into the Service, such as purchase orders, inventory, suppliers and uploaded documents (“Your Data”). You give us a licence to host, process and display Your Data only as needed to provide and secure the Service. Each customer company’s data is separated from other companies’ data. You are responsible for having the right to upload Your Data, and you should keep your own copies of anything critical. On request we will delete or de-identify your company’s data after your account ends, subject to routine backups and any legal obligations to keep it. Our Privacy Policy explains how we handle personal information.
4. Acceptable use
You must not:
- use the Service unlawfully, or to send spam or malicious content;
- try to access another company’s data, or an account or system you are not authorised to use;
- probe, scan or test the security of the Service, or overload it, without our written permission;
- copy, resell or reverse engineer the Service, except where the law allows it; or
- upload content you do not have the right to use, or content that is harmful or infringes someone else’s rights.
We may suspend or limit access if we reasonably believe these terms have been breached or the security of the Service is at risk.
5. AI features
The Service includes, or will include, an AI assistant. AI answers can be incomplete or wrong. Check them before you rely on them, and do not use them as the sole basis for financial, legal, safety or compliance decisions. When the assistant is switched on, your questions and the business data needed to answer them are sent to a third-party AI provider for processing.
6. Third-party services
The Service depends on third-party providers, including web hosting, web fonts and (when enabled) an AI provider. We are not responsible for outages or changes at those providers beyond what the law requires of us.
7. Intellectual property
We own the Service, including its software, design and branding. These terms do not transfer any of that to you. If you give us feedback, we may use it to improve the Service without obligation to you.
8. Consumer guarantees and liability
Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or other law that cannot be excluded. Subject to that, and to the extent the law allows: (a) where a guarantee applies and can be limited, our liability is limited to supplying the Service again or paying the cost of having it supplied again; and (b) we are not liable for indirect or consequential loss, loss of profit, or loss of data. The Service is business software and is provided during early access on an “as available” basis.
9. Ending your use
You can stop using the Service at any time and ask us to close your account. We may end or change the Service, or close an account, with reasonable notice where practical, and immediately where needed for security or legal reasons. Sections that by their nature should continue (including data, liability and governing law) will survive.
10. Changes to these terms
We may update these terms. The date at the top shows the latest version. If a change is material we will tell users on the website or in the platform. Continuing to use the Service after a change means you accept the updated terms.
11. Governing law
These terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of Victoria.
12. Contact
Questions about these terms can be sent through our contact page.
